
Preamble
• Considering the growing number of nationals and friends of Guinea in North America;
• Considering that the good understanding and unity of Guineans in their diversity are the driving force of social, cultural and economic progress;
• Considering the important role of NGOs in the development of Guinea, the duty of its citizens and friends would be to bring their contributions in building the welfare of Guineans;
After discussion, citizens and friends in North America decide in accordance with the laws of host countries and those of Guinea, the creation of an NGO called Action Guinea.
TITLE 1: DESIGNATION – OBJECT – HEADQUARTER – DURATION – MEMBERSHIP
Article 1: Designation
It has been created an NGO named: Action Guinea
Article 2: Motto
Its motto is “Prosperity for All”
Article 3: Logo
The logo of Action Guinea is
Article 4: Objectives
Action Guinea seeks the following as objectives:
• Establishment and strengthening of friendship bonds and brotherhood between all Guineans on one hand, and the other to enable them to participate effectively in the development process of Guinea;
• Assistance of members at the socio-economic and cultural levels;
• Assistance to the Guinean community on necessary needs for its development;
• Promotion of Women and Children;
• Promotion of health and the fight against Sexually Transmitted Infections.
Article 5: Headquarter
The headquarter will be decided upon later.
Article 6: Duration/Period
The duration of the organization is unlimited.
Article 7: Membership
Can be members, all Guineans and friends of Guinea, who commit to respect the laws and rules governing the NGO.
TITLE 2: ADMINISTRATION AND OPERATION
Article 8: Executive board
The Executive board is the executive body of the organization whose members are elected by simple majority of members present at the general assembly. The board meets once a month and it includes 9 members of the organization.

• A Secretary-General
• A secretary for organization
• A secretary of Information and Social Affairs
• A secretary for external relations
• A secretary in charge of ethics and morality
• An Accountant
• A treasurer
Article 9: Functions
1. The President
The President is the official representative of the organization. He convenes and presides over ordinary and extraordinary general assemblies. He coordinates the activities of the executive office and those of the organization. He orders in agreement with the Executive Office expenditures and sign all acts that involve the life of the organization.
2. The Vice-President
He/she assists the President and replaces him / her absence.
3. The Secretary-General
He/she prepares the minutes and handles the documentation of the organization. He/she coordinates activities of officers.
4. The secretary for organization
He/she is responsible for planning and organizing activities of the organization.
5. The secretary of Information and Social Affairs
He/she is responsible for informing members and friends of the organization on its activities. He/she coordinates the social activities of the organization. He/she is responsible for updating the list of addresses of members. He/she chooses a team for work depending on projects.
6. The secretary for external relations
He/she is responsible for creating and maintaining organization’s relationships with the outside world.
7. The secretary in charge of ethics and morality
He/she is the moral authority of the organization and is responsible for resolving conflicts between members.
8. The Accountant
He/she handles the accounts of the organization. He/she updates the file on contributions and all entrances and exits of money at the organization.
9. The treasurer
He/she is responsible for collecting funds on behalf of the organization. He/she executes expenses ordered by the Executive Board. He proposes the budget in collaboration with members of the Executive board.
Article 10:
The funds and assets of the organization cannot be of personal use.
Article 11:
The resources of the organization are:
• The sale of membership cards;
• The benefits of fundraisings;
• Grants, Donations and Bequests;
Article 12:
The Executive Board members are unpaid.
Article 13:
The General Assembly which brings together all members of the organization is held the second Sunday of every two months. In a sovereign and critical way, it adopts the draft rules and regulations. It defines and directs the general policy of the organization and elects the Executive Board. It assesses the program of the organization proposed by the Executive Board. The final say on any decision involving the organization is by the majority of the members present. �If required, a special meeting may be convened by the Executive Board with agreement of the majority of the members.
Article 14:
The decisions of the Executive Board are taken by the majority of its members.
Article 15:
The agenda of the meetings must be accessible to all members before the day of the general assembly.
Article 16:
The Executive Board is elected for a term of 1 year, renewable once in succession for the same position.
Article 17:
Membership is lost by:
a) Resignation delivered to members, or written and addressed to the General Assembly
b) Removal for non-compliance with the rules and regulations of the organization and for reasons not defined in these rules but decided by the General Assembly.
c) - Deaths
Article 18:
Any member previously expelled from the organization can, when he/she decides whether to honor the entirety of the rules and regulations of the organization, be reinstated by the decision of the general assembly.
Article 19:
Any member who opposes the principles of the organization may be suspended by the Executive Board pending a decision by the General Assembly, which alone has the power to expel a member from the ranks of the organization.
Article 20:
In a crisis of confidence of a member of the executive board, the majority of the assembly may request a vote of confidence for his/her removal and call for anticipated election for his/her replacement.
Article 21:
In case of dissolution, property and assets of the organization will be bequeathed to other organizations with similar goals following a decision of the assembly.
Article 22:
Any potential problem not mentioned in these by laws will be discussed and submitted for approval by the General Assembly.
Article 23:
This present document is subject to change. Furthermore, only the General Assembly may decide to make these changes.
